AZOOMAR SELLER AGREEMENT

This Seller Agreement (“Agreement”) sets out the terms and conditions governing the relationship between Azoomar (“Azoomar,” “we,” “us,” or “our”) and any individual, business, company, or other entity (“Seller,” “you,” or “your”) that registers to sell products through the Azoomar marketplace.

Azoomar operates an online multi-vendor marketplace through azoomar.cm, allowing independent sellers to list and offer products to customers.

By registering as a Seller, creating product listings, accepting orders, or otherwise using Azoomar’s seller services, you agree to be bound by this Agreement and the other policies applicable to sellers on Azoomar.

If you do not agree to this Agreement, you must not register or operate as a Seller on Azoomar.

  1. DEFINITIONS

For purposes of this Agreement:

“Azoomar” means the Africa Zoom Market and the company or entity operating the marketplace.

“Customer” means any person who purchases or attempts to purchase a product through Azoomar.

“Seller” means an individual, business, company, or other entity authorized to sell products through Azoomar.

“Marketplace” means the online marketplace operated through azoomar.cm and any related applications, platforms, or services.

“Product” means any physical or digital item listed by a Seller on the Marketplace.

“Order” means a purchase transaction placed by a Customer through the Marketplace.

“Seller Account” means the account created by a Seller to access Azoomar’s seller services.

“Seller Content” means product photographs, descriptions, trademarks, logos, videos, text, specifications, and other material provided by a Seller.

  1. ELIGIBILITY TO SELL

To become a Seller on Azoomar, you must:

  • Provide accurate and complete registration information;
  • Meet any applicable legal requirements for operating a business or selling products;
  • Provide information reasonably requested by Azoomar for verification;
  • Be legally capable of entering into this Agreement;
  • Comply with all applicable laws and regulations;
  • Maintain accurate account information.

Azoomar may refuse or restrict Seller registration where there are legitimate reasons to do so, including concerns relating to fraud, safety, compliance, or marketplace integrity.

  1. SELLER ACCOUNT

Each Seller is responsible for maintaining the security and confidentiality of their account credentials.

You must:

  • Keep your login information secure;
  • Not share your account with unauthorized persons;
  • Provide accurate account information;
  • Promptly update inaccurate information;
  • Notify Azoomar of suspected unauthorized access.

You are responsible for activities carried out through your Seller Account unless you can demonstrate that the activity occurred without your authorization and despite reasonable security measures.

Azoomar may limit the number of Seller Accounts associated with an individual or business where necessary to prevent abuse or policy circumvention.

  1. SELLER VERIFICATION

Azoomar may request information or documents to verify a Seller’s identity, business, products, or legal authorization.

Depending on the circumstances, this may include:

  • Business registration information;
  • Contact information;
  • Proof of address;
  • Product documentation;
  • Licenses or permits;
  • Brand authorization;
  • Import or export documentation;
  • Product safety or regulatory documentation.

Azoomar will handle personal information in accordance with its Privacy Policy and applicable data-protection laws.

Failure to provide reasonably required verification information may result in restrictions on selling activities.

  1. PRODUCT LISTINGS

Sellers are responsible for all products they list on Azoomar.

Every listing must contain accurate and sufficient information, including where applicable:

  • Product name;
  • Description;
  • Price;
  • Available quantity;
  • Product condition;
  • Product specifications;
  • Images;
  • Variations;
  • Applicable warnings;
  • Shipping or delivery information.

Sellers must ensure that their listings accurately represent the products customers will receive.

  1. PROHIBITED AND RESTRICTED PRODUCTS

Sellers must comply with the Azoomar Prohibited and Restricted Products Policy.

Sellers must not list or sell products that:

  • Are illegal;
  • Are counterfeit;
  • Infringe intellectual-property rights;
  • Present unreasonable safety risks;
  • Are prohibited by Azoomar;
  • Require authorization that the Seller does not possess;
  • Are subject to restrictions that the Seller cannot satisfy.

Azoomar may remove any product that violates this Agreement or the Prohibited and Restricted Products Policy.

  1. PRODUCT AUTHENTICITY

Sellers must only sell genuine products when they are represented as authentic or branded.

A Seller must not:

  • Sell counterfeit goods;
  • Claim that an unauthorized product is genuine;
  • Use another company’s trademark without authorization;
  • Misrepresent the manufacturer;
  • Misrepresent the origin of a product.

Azoomar may request proof of authenticity or authorization.

  1. PRICING

Sellers are responsible for setting accurate product prices.

Prices must not be intentionally misleading.

Sellers must clearly provide any information required by applicable law concerning:

  • Product prices;
  • Applicable taxes;
  • Delivery charges;
  • Additional fees;
  • Discounts or promotions.

Azoomar may establish marketplace-wide promotional programs or pricing requirements where communicated to Sellers.

  1. ORDERS

When a Customer places an Order, the Seller is responsible for fulfilling the Order according to the information provided in the listing and applicable Azoomar requirements.

The Seller must:

  • Confirm and process Orders promptly;
  • Maintain sufficient inventory;
  • Provide the correct product;
  • Package the product appropriately;
  • Prepare the product for delivery within the stated timeframe;
  • Provide accurate order information.

Repeated failure to fulfill Orders may result in penalties under the Azoomar Seller Penalty Policy.

  1. SHIPPING AND DELIVERY

Unless otherwise agreed, Sellers are responsible for preparing products for shipment and complying with applicable delivery requirements.

Sellers must:

  • Package products appropriately;
  • Provide accurate shipping information;
  • Meet stated processing times;
  • Cooperate with delivery partners;
  • Keep order information accurate;
  • Promptly address delivery problems.

Where Azoomar provides or facilitates logistics services, Sellers must comply with the applicable logistics requirements.

  1. RETURNS, REFUNDS, AND CUSTOMER CLAIMS

Sellers must comply with Azoomar’s applicable Return and Refund Policy.

Depending on the circumstances, customers may be entitled to a refund, replacement, return, or other remedy.

Seller-related issues may include:

  • Incorrect products;
  • Damaged products;
  • Products materially different from their descriptions;
  • Products not received;
  • Counterfeit products;
  • Missing items;
  • Other material failures to fulfill the Order.

Where permitted under the applicable terms, amounts paid to Customers as a result of a Seller’s failure may be recovered from the Seller.

  1. SELLER FEES AND COMMISSIONS

Azoomar may charge Sellers fees for using its marketplace services.

These may include:

  • Commission on sales;
  • Listing fees;
  • Transaction fees;
  • Payment-processing fees;
  • Advertising or promotional fees;
  • Other fees communicated to Sellers.

Applicable fees will be communicated through the Seller Dashboard, applicable pricing pages, or other appropriate channels.

Azoomar may update its fees by providing reasonable notice where required.

  1. SELLER PAYOUTS

Eligible Seller proceeds may be paid according to Azoomar’s applicable payout schedule and procedures.

Before releasing funds, Azoomar may deduct or account for:

  • Marketplace commissions;
  • Applicable transaction fees;
  • Refunds;
  • Chargebacks;
  • Amounts owed under this Agreement;
  • Other amounts permitted under the applicable Seller terms.

Azoomar may temporarily delay a payout where reasonably necessary to investigate:

  • Fraud;
  • Suspicious transactions;
  • Customer disputes;
  • Chargebacks;
  • Account security issues;
  • Other legitimate marketplace risks.

Any withholding or adjustment of funds will be subject to applicable law and the contractual terms governing the Seller’s account.

  1. TAXES

Sellers are responsible for determining and fulfilling their own tax obligations arising from their sales on Azoomar, unless applicable law expressly places a specific obligation on Azoomar.

Depending on applicable law, Sellers may be responsible for:

  • Business taxes;
  • Income taxes;
  • Value-added tax or applicable consumption taxes;
  • Customs duties;
  • Import or export charges;
  • Other applicable government charges.

Sellers should obtain appropriate professional advice regarding their tax obligations.

  1. CUSTOMER COMMUNICATION

Sellers must communicate with Customers professionally and honestly.

Sellers must not:

  • Harass Customers;
  • Threaten Customers;
  • Mislead Customers;
  • Request false reviews;
  • Pressure Customers to cancel legitimate complaints;
  • Use Customer information for unauthorized purposes;
  • Attempt to move transactions outside Azoomar in order to circumvent marketplace fees or protections.
  1. CUSTOMER DATA

Sellers may receive certain Customer information necessary to fulfill Orders.

Seller access to Customer information must be limited to legitimate marketplace purposes.

Sellers must not:

  • Sell Customer information;
  • Share Customer information with unauthorized third parties;
  • Use Customer information for unrelated marketing without appropriate authorization;
  • Contact Customers for unrelated purposes;
  • Store Customer information unnecessarily;
  • Use Customer information in violation of applicable privacy laws.

Sellers must comply with applicable data-protection laws and Azoomar’s Privacy Policy.

  1. INTELLECTUAL PROPERTY

Sellers must have the necessary rights to use all content included in their listings.

This includes:

  • Product photographs;
  • Videos;
  • Logos;
  • Trademarks;
  • Product descriptions;
  • Graphics;
  • Brand names;
  • Other copyrighted material.

Sellers must not upload content that infringes another person’s intellectual-property rights.

  1. LICENSE TO AZOOMAR

By submitting Seller Content to Azoomar, you grant Azoomar a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, modify, and publish that content for purposes related to operating, promoting, and improving the Marketplace.

This license may include displaying your product:

  • On Azoomar;
  • In search results;
  • In advertisements;
  • On social media operated by Azoomar;
  • In promotional materials;
  • In marketplace communications.

You retain ownership of your intellectual property.

The license continues for as long as reasonably necessary to operate the Marketplace and manage historical transactions, subject to applicable law.

  1. SELLER WARRANTIES

By selling on Azoomar, you represent and warrant that:

  • You have the legal right to sell the products you list;
  • Your products are authentic where represented as authentic;
  • Your listings are accurate;
  • Your products comply with applicable laws;
  • Your products comply with Azoomar policies;
  • You have the necessary licenses or authorizations where required;
  • Your Seller Content does not unlawfully infringe third-party rights;
  • You will fulfill accepted Orders;
  • You will cooperate with legitimate investigations.
  1. SELLER INDEMNIFICATION

To the extent permitted by applicable law, the Seller agrees to defend, indemnify, and hold harmless Azoomar and its affiliates, officers, employees, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

  • The Seller’s violation of this Agreement;
  • Illegal products;
  • Counterfeit products;
  • Product defects attributable to the Seller;
  • Infringement of third-party intellectual-property rights;
  • Misleading product information;
  • Seller’s violation of applicable law;
  • Seller’s misuse of Customer information;
  • Seller’s negligent or wrongful conduct.

This provision does not apply to the extent that the relevant loss was caused by Azoomar’s own unlawful conduct or liability that cannot legally be excluded.

  1. SELLER PERFORMANCE AND PENALTIES

Azoomar may monitor Seller performance.

Performance may include:

  • Order cancellation rate;
  • Late fulfillment;
  • Customer complaints;
  • Return rate;
  • Refund rate;
  • Product quality;
  • Product authenticity;
  • Policy violations;
  • Customer service;
  • Fraud indicators.

Violations may result in actions described in the Azoomar Seller Penalty Policy, including warnings, listing removal, restrictions, suspension, or termination.

  1. SUSPENSION AND TERMINATION

Azoomar may suspend or terminate a Seller Account where there is a reasonable basis to believe that the Seller:

  • Violated this Agreement;
  • Violated Azoomar policies;
  • Engaged in fraud;
  • Sold prohibited products;
  • Repeatedly failed to fulfill Orders;
  • Provided false information;
  • Attempted to evade marketplace enforcement;
  • Created a significant risk to Customers or Azoomar;
  • Engaged in illegal activity.

Where appropriate, Azoomar may provide the Seller with an opportunity to correct the violation.

However, Azoomar may take immediate action where necessary to protect Customers, Sellers, the Marketplace, or comply with legal obligations.

  1. EFFECT OF TERMINATION

Following termination:

  • The Seller may no longer create new listings;
  • New Orders may no longer be accepted;
  • Existing obligations may continue until resolved;
  • Customer refunds may continue to be processed;
  • Amounts owed may remain payable;
  • The Seller must cooperate in resolving outstanding transactions.

Termination does not automatically eliminate obligations that by their nature should continue after termination.

  1. SELLER APPEALS

Where applicable, Sellers may appeal certain enforcement actions.

An appeal should include:

  • Seller account information;
  • Relevant Order or listing information;
  • Explanation of the issue;
  • Reasons for requesting reconsideration;
  • Supporting evidence.

Appeals may be submitted through:

Seller Dashboard → Admin Support → Add New Ticket

Azoomar will review appeals where appropriate and may maintain, modify, or reverse an enforcement decision.

  1. MARKETPLACE AVAILABILITY

Azoomar aims to maintain a reliable marketplace but does not guarantee that the Website will always be available or uninterrupted.

Azoomar may temporarily suspend or modify services for:

  • Maintenance;
  • Security;
  • Technical updates;
  • Legal or regulatory requirements;
  • Emergencies;
  • Operational reasons.
  1. INDEPENDENT SELLER RELATIONSHIP

Sellers operate independently from Azoomar.

Unless expressly stated otherwise, this Agreement does not create:

  • An employment relationship;
  • A partnership;
  • A joint venture;
  • An agency relationship.

Sellers are responsible for their own businesses, employees, products, taxes, licenses, and legal obligations.

  1. CHANGES TO THIS AGREEMENT

Azoomar may update this Agreement from time to time.

Changes may be made to reflect:

  • Changes to the Marketplace;
  • New services;
  • Changes in fees;
  • Changes in applicable laws;
  • Changes in seller requirements;
  • Security or operational requirements.

Where appropriate, Azoomar will notify Sellers of material changes through the Seller Dashboard, email, Website notice, or other reasonable means.

The updated Agreement will include a new “Last Updated” date.

  1. GOVERNING LAW

This Agreement shall be governed by the laws applicable in the Republic of Cameroon, unless otherwise required by applicable law or expressly agreed between the parties.

Where applicable, disputes shall be handled by the competent courts or dispute-resolution mechanisms having jurisdiction under applicable Cameroonian law.

  1. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

  1. ENTIRE AGREEMENT

This Seller Agreement, together with the policies and terms expressly incorporated into it, forms the agreement governing the Seller’s use of Azoomar’s marketplace services.

SELLER ACKNOWLEDGEMENT

By registering for an Azoomar Seller Account, clicking “I Agree,” listing products, accepting Orders, or otherwise using Azoomar’s seller services, you acknowledge that:

  1. You have read and understood this Seller Agreement;
  2. You agree to comply with this Agreement;
  3. You agree to comply with Azoomar’s marketplace policies;
  4. You are responsible for the legality and accuracy of your products and listings;
  5. You are responsible for fulfilling your obligations to Customers;
  6. You agree to comply with applicable laws and regulations.

Azoomar reserves the right to enforce this Agreement and its marketplace policies to protect Customers, Sellers, Azoomar, and the integrity of the Marketplace.
